We know it’s tempting to skip these Terms of Service, but it’s important to establish what you can expect from us as you use our services, and what we expect from you.

PINNACLE LIVE EVENT PRODUCTIONS, LLC 

EXHIBITOR TERMS AND CONDITIONS 

 

Billing Policy: Exhibitor shall provide a 100% advance deposit to be applied to the cost of such services provided. We accept payment by Visa, MasterCard, Discover, and American Express. All online orders are processed through 128 bit SSL encryption to protect your credit card information during your online transaction. All prices and figures are listed in US Dollars. A 3.5% credit card processing fee will be automatically applied to the amount being charged. Pinnacle Live Event Productions, LLC has the right to check the credit available on any card presented. If the exhibitor fails to pay their invoice prior to the close of the show, the charges will automatically be applied to the credit card on file. 

 

Cancellation Policy: Exhibitors may cancel their orders at any time before April 11, 2025, to receive a full refund. However, should Pinnacle Live have already incurred costs related to the order up until the point of cancellation, those costs will be deducted from the refund. To ensure proper processing, all cancellations must be communicated via email to ExhibitorServices@PinnacleLive.com. All sales made on or after April 11, 2025, are final. No refunds will be issued for cancellations or modifications made after this date. It is crucial that all orders are carefully reviewed before finalizing as Pinnacle Live will not accommodate cancellations or offer credits for any orders placed beyond this date. Orders cancelled after this deadline will be charged in full, and no credits will be issued. This policy is strictly enforced to ensure fairness and operational efficiency. In the exceptional circumstance of a full show cancellation by Pinnacle Live, a separate and specific cancellation policy will be communicated to all affected parties. This policy will outline the procedures and refunds applicable under such circumstances. We strongly advise all our exhibitors to review their orders and make any necessary cancellations well before the April 11, 2025 deadline to avoid any non-refundable charges. Pinnacle Live remains committed to providing exceptional service and support to all our exhibitors and attendees. Indemnification: Each Party shall indemnify, defend and hold harmless the other Party and such other Party’s related parties from and against all claims, actions, damages, costs and expenses (including reasonable attorneys’ fees) arising out of the breach of this Agreement (including breach of any covenant or representation made herein by the indemnifying Party), negligence and/or willful misconduct by the indemnifying Party or its employees. 

 

Limitation of Liability: Exhibitor acknowledges that the pricing of the Available Services and Pinnacle’s entering into the Agreement are based, in part, on the following limitation of liability. To the extent permitted by applicable law, the aggregate monetary liability of Pinnacle to Exhibitor for any reason and for all causes of action (other than liability if and to the extent caused by the gross negligence or willful misconduct of Pinnacle and/or Pinnacle’s employees) will not exceed the total Fees paid by Exhibitor under this Agreement and Pinnacle shall not be liable to Exhibitor for any special, incidental, consequential, reliance or punitive damages, including any loss of profits or damages in connection with business interruption. 

 

Pinnacle Subcontractors: Pinnacle may, at its discretion, engage subcontractors to perform portions of the Services ("Subcontractors"). Pinnacle shall be responsible for compensating all Subcontractors in full for their services, contingent upon the Exhibitor's fulfillment of all payment obligations to Pinnacle under this Agreement. 

 

Material Handling Charges/ Bill of Lading: Material handling charges are based on show site requirements and may be incurred even if you do not request material handling or obtain a material handling estimate. All charges are based on the total inbound weight of the shipment. Pinnacle Live reserves the right to hold any exhibitor freight who has unpaid material handling fees. Each exhibitor is responsible for turning in a Bill of Lading to the Pinnacle Live Exhibitor Service Center after dismantling their booth properties. The Bill of Lading is the official permission of the exhibitor allowing removal of booth properties from exhibit hall to carrier of choice. 

Designated Exhibitor Freight Transportation Carrier: Pinnacle Live has designated Alliance Transportation  & Logistics as the official transportation provider. All exhibitors are strongly encouraged to utilize their services for the transportation of exhibit materials to ensure coordinated and timely delivery. 

Pinnacle Live shall have the authority to change the exhibitor designated carrier if that carrier does not pick up the shipment(s) at the appointed time. Where no disposition is made by the exhibitor, Pinnacle Live reserves the right to reroute the booth properties to the company address Pinnacle Live has on file. The exhibitor agrees to be responsible for charges relating to such rerouting and handling, and the credit card on file will be charged for such shipping fees. In no event shall Pinnacle Live be responsible for any loss or damage resulting from such rerouting. Limitation of Liability: (A). The total financial liability of Pinnacle Live and Alliance Transportation & Logistics for any and all claims arising from the transportation, handling, storage, or delivery of your shipment shall not exceed $1,000 per shipment. (B.) This limitation applies regardless of the cause or nature of the loss or damage, and it reflects the allocation of risk between the parties. Payment Terms: All transportation charges must be paid upfront. Services will only be rendered upon receipt of full payment. This ensures the timely and efficient processing and delivery of your shipment. Bill of Lading: (A.) The Bill of Lading must be filled out correctly and completely. It serves as the receipt for your shipment and the contract for transportation. (B.) Inaccurate or incomplete Bills of Lading may result in delays or additional charges, for which the exhibitor shall be responsible. Packing and Documentation: Exhibitors are responsible for ensuring that all shipments are properly packed, labeled, and documented to withstand transportation and handling. Pinnacle Live and Alliance Transportation & Logistics will not be liable for damage due to improper packing or documentation. Delivery Notations: Upon delivery, any exceptions to the condition of the shipping containers must be noted on the delivery receipt. Failure to note such exceptions may waive your right to file a claim for any discovered damage. Customer Liability: Exhibitors are responsible for complying with all applicable laws, regulations, and carrier requirements related to the shipment. This includes the accuracy of all shipping documentation and adherence to export and import regulations. Advanced Money and C.O.D. Shipments: If applicable, all charges related to advanced money and C.O.D. shipments must be settled in accordance with the agreed-upon terms. Quotations and Contractual Agreements: Any quotations provided are for informational purposes only and are subject to change. A formal agreement or contract must be executed to confirm specific rates and services. Inspection Rights: Alliance Transportation & Logistics reserves the right to open and inspect shipments to ensure compliance with all regulations and carrier requirements. 

 

Account Policy: Pinnacle Live reserves the right to de-activate or remove any user accounts provided at http://www.PinnacleLive.com without a notice if user has provided wrong information, has violated common Internet policies or if the account has been inactive for more than 60 days. 

 

Final Show Audit: Pinnacle Live reserves the right to perform a final audit of all shows, for up to 120 days after the move out date of the show. If additional charges for any service, labor or equipment are found, it will be added to the exhibitor’s invoice and the credit card on file will be charged. A final audit invoice with explanation of any additional charges will be sent to the exhibitor. If Pinnacle Live does not have payment information, the invoice sent to the exhibitor will be due upon receipt.
